3. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights, including copyrights, trademarks, and other proprietary rights, related to the deliverables of the Services remain the property of the Agency or its licensors.

3.2 Client Materials


You retain all rights to any materials or content you provide to us for the purpose of the Services. By providing such materials, you grant us a limited, non-exclusive, royalty-free license to use, reproduce, modify, and display the materials solely for the purpose of providing the Services.

4. Confidentiality

4.1 Confidential Information


During the course of providing the Services, both parties may disclose confidential information to each other. Confidential information includes any non-public, proprietary, or sensitive information related to the business, operations, or clients of either party.

4.2 Confidentiality Obligations

Both parties agree to maintain the confidentiality of any confidential information received and to use it solely for the purpose of fulfilling their obligations under these Terms. Confidential information must not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.

5. Limitation of Liability


To the fullest extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the provision of the Services, regardless of the cause of action or theory of liability, whether in contract, tort, or otherwise.

Either party may terminate the Services upon providing written notice to the other party. Upon termination, you shall pay any outstanding fees due for Services rendered up to the termination date. Any provisions that by their nature are intended to survive termination shall continue to apply.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
